These General Terms of Use (hereinafter, the "General Terms") regulate the terms and conditions under which AMBAR PARTNERS TECH SERVICES LEGAL, S.L. (hereinafter, "Ambar"), with Tax ID B-88.306.147 and registered office at Guzmán el Bueno Street No. 133, Ground Floor – Britannia Building, 28003 Madrid, provides the independent lawyers of the Ambar community (hereinafter, the "Partners") with access to the web and mobile platform called Ambar Hauss.
I. Definitions
- Ambar Hauss: Refers to the web and mobile platform operated by Ambar and made available to the members of its community. It is designed to be a digital space for Ambar's lawyer community or "Partners," allowing, among other activities or services, interaction between members, access to a forum fostering discussions that promote professional and personal growth, access to exclusive services or tools, discounts from partner brands, and potential professional collaboration opportunities suited to their expertise.
- Partner: An independent lawyer or legal professional with their own practice who has been admitted to the Ambar community and, as such, has access to Ambar Hauss.
II. Registration on Ambar Hauss
To access and use the services offered on Ambar Hauss, the Partner must register by creating an account. The registration process includes:
- Identity Verification: The Partner must provide truthful and up-to-date information regarding their identity, professional qualifications, and other required professional data.
- Terms of Use: Only independent lawyers who meet the legal requirements to practice law in their respective jurisdictions and who fully accept these General Terms may register as Partners.
- Confidentiality of Access: The Partner is responsible for maintaining the confidentiality of their username and password. Ambar will not be responsible for any misuse of the Partner’s access credentials.
III. Partner Obligations Upon Registration
- Accuracy of Information: The Partner commits to providing accurate information during the registration process and keeping it up to date. Any false or inaccurate data may result in the suspension or cancellation of the account.
- Exclusivity: The use of Ambar Hauss is strictly reserved for registered Partners. Unauthorized third parties are prohibited from accessing Ambar Hauss.
IV. Access to Ambar Hauss
Availability of Ambar Hauss
- Accessibility: Ambar Hauss will be available to Partners 24/7, except for scheduled maintenance or force majeure events.
- Interruptions: Ambar reserves the right to temporarily suspend access to Ambar Hauss for improvements or updates.
Access Restrictions
- Exclusive Access: Access to Ambar Hauss is restricted exclusively to Partners. Any unauthorized access attempts will be considered a violation of these General Terms and may result in the suspension or cancellation of the involved Partner’s account.
- Prohibited Use: Partners may not use the Platform for activities unrelated to the offered services.
- Right of Admission: Ambar reserves the right to remove a Partner’s access to Ambar Hauss if they fail to comply with community rules.
- Certain Countries: Access to Ambar Hauss is blocked in specific countries. If a Partner wishes to access it from one of these countries, they must manage the use of a VPN service at their own risk and responsibility to unlock access. To see the list of blocked countries, refer to Annex I.
V. Ambar´s Liability
- Limitation of Liability: Ambar shall not be held liable for any direct, indirect, or consequential damages arising from the use of Ambar Hauss, including but not limited to loss of business opportunities, service interruptions, or any other situations beyond Ambar’s reasonable control.
VI. Data Protection
Data Protection Policy
- Processing of Personal Data: Ambar collects and processes Partners' personal data in accordance with its Data Protection Policy, available at https://www.ambarpartners.com/en/privacy-policy-partner. This policy details the Partners' rights regarding their personal data, including rights of access, rectification, deletion, and objection.
- Confidentiality: Ambar commits to protecting the confidentiality of Partners’ personal data and will not share it with third parties without prior consent, except when necessary to fulfill the purpose for which the data was provided or in compliance with legal or contractual obligations.
VII. Governing Law and Jurisdiction
- Governing Law: These General Terms are governed by Spanish law.
- Competent Jurisdiction: Any dispute arising in connection with these General Terms, including their interpretation, execution, or validity, shall be exclusively resolved by the courts of Madrid, Spain.
VIII. Modification of the General Terms
- Right to Modify: Ambar reserves the right to modify these General Terms at any time at its sole discretion. Modifications will take effect immediately upon publication on Ambar Hauss.
- Acceptance of Modifications: Continued use of Ambar Hauss by the Partner after any changes have been implemented constitutes acceptance of those changes. If the Partner does not agree with the modifications, they must stop using the Platform and request account cancellation by emailing community@ambarpartners.com.
